Quick Ship Drill Bushings by Cochran and Company

These Terms and Conditions govern the sale of Quick Ship Drill Bushings and related products by Cochran and Company. By submitting a request for quote, purchase order, or placing an order, you agree to the following terms.

1. Orders and Acceptance

All orders are subject to written acceptance by Cochran and Company.

• Quotes are valid for 30 days unless otherwise stated.
• Orders must include part numbers, quantities, specifications, and shipping instructions.
• Cochran and Company reserves the right to reject any order.

2. Pricing

• Prices are subject to change without notice prior to order confirmation.
• All prices are in U.S. Dollars unless otherwise stated.
• Pricing does not include taxes, duties, freight, or insurance unless specified.

Customer is responsible for all applicable sales tax, use tax, VAT, or import duties.

3. Payment Terms

• Standard payment terms are Net 30 days for approved accounts.
• New customers may require prepayment or credit card payment.
• Late payments may be subject to interest charges at the maximum rate permitted by law.
• Customer agrees to pay reasonable collection costs if necessary.

4. Shipping and Delivery

• Shipping terms are FOB Shipping Point unless otherwise agreed in writing.
• Risk of loss transfers to the customer upon delivery to the carrier.
• Delivery dates are estimates and not guaranteed.
• Cochran and Company is not liable for delays caused by carriers or force majeure events.

5. Inspection and Acceptance

Customer must inspect all products upon receipt.

• Claims for shortages or visible damage must be reported within 5 business days.
• Claims for defects must be reported within 10 business days of discovery.
• Failure to notify within this timeframe constitutes acceptance.

6. Returns and Restocking

• Returns require prior written authorization.
• Standard stocked items may be subject to a restocking fee.
• Custom or modified bushings are non-returnable.
• Products must be unused and in original condition.

7. Limited Warranty

Cochran and Company warrants that products will conform to published specifications at the time of shipment.

This warranty:

• Applies only to normal industrial use
• Does not cover misuse, improper installation, or modification
• Is limited to replacement of defective product or refund of purchase price

No other express or implied warranties apply, including merchantability or fitness for a particular purpose.

8. Limitation of Liability

Cochran and Company shall not be liable for:

• Indirect or consequential damages
• Loss of production
• Loss of profits
• Equipment downtime
• Labor costs related to installation or removal

Total liability shall not exceed the purchase price of the product.

9. Technical Information and Application Responsibility

Technical data, application guidance, and recommendations are provided for reference only.

Customer is responsible for:

• Verifying suitability for the intended application
• Ensuring proper installation and alignment
• Confirming compliance with engineering and safety standards

10. Force Majeure

Cochran and Company shall not be liable for failure or delay caused by events beyond reasonable control, including:

• Supply chain disruptions
• Raw material shortages
• Natural disasters
• Labor disputes
• Government restrictions

11. Intellectual Property

All catalogs, drawings, specifications, and product descriptions remain the property of Cochran and Company and may not be reproduced without written permission.

13. Entire Agreement

These Terms and Conditions constitute the entire agreement between the parties regarding the sale of Quick Ship Drill Bushings and supersede all prior communications or agreements.

No modification shall be binding unless agreed to in writing by both parties.
